Terms of Service

These Terms of Service ("Terms") govern your use of SocialHQ, a messaging sales CRM for solo and micro-business owners. In them, "we" means SocialHQ and "you" means the business owner or team member using the Service.

Acceptance of Terms

By creating an account or using SocialHQ ("the Service"), you agree to these Terms. If you don't agree, don't use the Service. If you're using SocialHQ on behalf of a business, you're agreeing on that business's behalf and confirming you have the authority to do so.

The Service

SocialHQ brings your WhatsApp, Instagram, and Facebook conversations into one inbox, where an AI engine scores, summarizes, and suggests next steps so you can close more deals. You can also track invoices and expenses, run internal automations, and send owner-launched broadcast campaigns to your customers.

Accounts & Eligibility

SocialHQ is a business tool, not intended for personal or consumer use. You must be at least 18 years old and authorized to act on behalf of the business you sign up for. Each signup creates a new organization ("workspace"); the person who signs up becomes its Owner and can invite teammates as Members. You're responsible for keeping your login credentials confidential and for all activity that happens under your account.

Subscriptions & Billing

SocialHQ offers Free, Pro, and Business plans, each with a different team-seat limit. Paid plans are billed through Stripe on a recurring basis and renew automatically until cancelled. You can cancel or change your plan at any time from your billing settings; changes take effect according to Stripe's standard proration and renewal rules. Downgrading to a plan with fewer seats than your current team size will block new invites until you free up seats, but won't remove existing team members. We don't store your card details — Stripe handles all payment processing.

Your Data & Content

You own the data you bring into SocialHQ — your business information, customer conversations, contacts, invoices, and everything else you or your customers create in the Service. We process that data on your behalf to operate the Service, as described in our Privacy Policy. You're responsible for having a lawful basis (and, where required, consent) to message the customers and contacts you communicate with through SocialHQ, and for complying with the messaging and marketing laws that apply to your business.

Acceptable Use

You agree not to use SocialHQ to: send spam, unsolicited bulk messages, or content that violates WhatsApp, Instagram, or Facebook's policies; harass, deceive, or defraud anyone; send or store unlawful, infringing, or abusive content; or attempt to reverse-engineer, scrape, or disrupt the Service. Your use of connected platforms is also governed by Meta's own terms and policies, and we may suspend features that put your account (or ours) at risk of platform enforcement.

AI Features

SocialHQ's AI scores, summarizes, drafts, and nudges — it never sends a message to your customer on its own. Every reply, template send, or Campaign launch requires your explicit action. AI-generated scores, summaries, and drafts are provided to help you work faster, but they can be inaccurate or incomplete; you're responsible for reviewing them before you act on them or send them to a customer.

Third-Party Platforms

SocialHQ integrates with WhatsApp, Instagram, Facebook (via Meta), Stripe, and other third-party providers. Your use of those platforms through SocialHQ is also subject to their own terms and policies, which we don't control. We're not responsible for outages, API changes, or policy enforcement actions taken by these third parties, though we'll do our best to keep the integrations working and to notify you of material changes.

Intellectual Property

SocialHQ and its software, design, and branding are our property (or our licensors'), and these Terms don't grant you any rights to them beyond what's needed to use the Service. You retain all rights to your business data, content, and customer communications.

Termination

You can stop using SocialHQ and close your account at any time. We may suspend or terminate your access if you violate these Terms, don't pay for a paid plan, or if we reasonably believe your use puts other users, our platform partners, or SocialHQ at risk. When your account is closed, we handle your data as described in our Privacy Policy's retention section.

Disclaimers

SocialHQ is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or that AI outputs will be accurate.

Limitation of Liability

To the maximum extent permitted by law, SocialHQ and its team won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

Changes to These Terms

We may update these Terms as the Service evolves. When we do, we'll revise the "Last updated" date above and, for material changes, notify you in the app or by email. Continuing to use SocialHQ after a change takes effect means you accept the updated Terms.

Notices

We'll send notices about your account, these Terms, or changes to the Service to the email address on file for your workspace's Owner. If you need to send us a formal notice, use the contact details below.

Complaints

If you have a complaint about the Service, email legal@socialhq.org with a description of the issue and your workspace details. We aim to acknowledge complaints within a few business days and work with you to resolve them.

Miscellaneous

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision isn't a waiver of it. These Terms are the entire agreement between you and SocialHQ about the Service, and supersede any prior agreements on the same subject. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms don't create a partnership, joint venture, or employment relationship between you and SocialHQ, and don't give any third party the right to enforce them.

Governing Law

SocialHQ is operated by famosMedia Technologies Ltd., a company registered in Cyprus. These Terms are governed by the laws of Cyprus, without regard to its conflict of law principles.
